Terms of Service

1. Agreement

By engaging Vylex Web ("we", "us", "our") for web development services, you ("the client") agree to these Terms of Service. These terms apply to all projects, services, and deliverables unless otherwise specified in a separate written agreement.

2. Scope of Work

Each project begins with a discovery and scoping phase. We will provide a project brief or proposal outlining:

  • The scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • Technologies and platforms to be used

Work outside the agreed scope will be quoted separately as a change request. We are not obligated to perform work beyond the agreed scope without mutual written agreement.

3. Payment Terms

  • A 50% deposit is required before work begins.
  • The remaining 50% is due upon project completion, before final files and access are handed over.
  • For larger projects, a milestone-based payment schedule may be arranged.
  • All prices are quoted in South African Rand (ZAR).
  • Invoices are due within 7 days of issue unless otherwise agreed.
  • Late payments may result in project delays or suspension of services.

4. Intellectual Property

Upon full payment, the client receives full ownership of all custom code, designs, and assets created specifically for their project. This includes:

  • HTML, CSS, JavaScript, and any custom backend code
  • Design files and mockups created for the project
  • Content written specifically for the project (if applicable)

Third-party assets (fonts, icons, stock images, libraries) remain subject to their respective licences. We retain the right to showcase completed projects in our portfolio unless the client requests otherwise in writing.

5. Client Responsibilities

The client agrees to:

  • Provide all required content (text, images, branding assets) in a timely manner
  • Provide feedback within agreed timeframes
  • Provide access to domain registrar, hosting, and any third-party accounts as needed
  • Review and approve deliverables at each milestone

Delays caused by the client (e.g., late content, delayed feedback) may result in timeline adjustments.

6. Revisions

Each project includes an agreed number of revision rounds (typically 1–2 rounds, as specified in the project proposal). Additional revisions beyond the agreed scope will be quoted at our standard hourly rate.

7. Hosting & Maintenance

We deploy projects to platforms such as GitHub Pages, Vercel, or Netlify. Ongoing hosting is the client's responsibility unless a maintenance arrangement is in place. We are not liable for downtime caused by third-party hosting providers.

Maintenance services (content updates, bug fixes, feature additions) are available on a retainer or per-request basis and are quoted separately.

8. Cancellation & Refunds

  • If the client cancels before development begins, the deposit may be partially refunded (minus any discovery/planning work completed).
  • Once development has started, the deposit is non-refundable.
  • If we cancel, any paid deposits will be refunded in full.
  • Projects inactive for more than 60 days without communication may be considered abandoned.

9. Liability

We make every effort to deliver high-quality, secure, and performant work. However:

  • We are not liable for losses resulting from third-party services (hosting, payment gateways, APIs).
  • We are not liable for data loss caused by the client's actions or third-party breaches.
  • Our total liability is limited to the total project fee paid by the client.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This includes business strategies, technical specifications, login credentials, and financial information.

11. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved in the courts of South Africa.

12. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page. Existing projects are governed by the terms agreed upon at the time of engagement.
